Governor McDonnell Announces New Major Global Headquarters in Fairfax County
– New spin-off company Engility Corporation to invest $6.5 million and create 50 new jobs as part of its global headcount of 9,200 –

Project a successful outcome of Governor's mission to New York and Canada

RICHMOND – Governor Bob McDonnell announced today that Engility Holdings, Inc., a new company to be publicly traded, and subsidiary L-3 Services, Inc. (to be renamed "Engility Corporation") will invest $6.5 million to locate its corporate headquarters in Fairfax County, following its spin-off from L-3 Communications Corporation. Engility Corporation is a leader in Systems Engineering and Technical Assistance (SETA), Training and Operational Support services for the Department of Defense and other U.S. Government agencies, as well as civil and international customers. Virginia successfully competed against Maryland for the project, which will create 50 new jobs.

Governor McDonnell met with officials at L-3 Communications Corporation in New York City during his recent Marketing Mission to New York and Canada.

Speaking about today's announcement, Governor McDonnell said, "L-3 Communications already has a strong presence in Virginia that Engility Corporation will maintain and continue to build on. I was pleased to work with L-3 on this significant opportunity for the Commonwealth, including meeting with company officials about the project during our recent job-creation and marketing trip to New York and Canada. Estimated to employ 9,200 globally, I am pleased that Virginia will add this new public company to our roster of corporate headquarters. Engility joins the other impressive companies that call Fairfax County home, and I am confident that the locality's strong professional workforce, favorable tax structure and proximity to the Department of Defense will enable the company to thrive in the Commonwealth."

"We enthusiastically welcome Engility Corporation to Virginia and Fairfax County," said Jim Cheng, Virginia Secretary of Commerce and Trade. "New jobs and investment are always good news, and with this project we gain a new corporate headquarters and 50 new jobs that pay above the average prevailing wage in the area."

Engility's experienced workforce and leadership will effectively address its customers' priorities with enhanced operational efficiency and cost-effective solutions. In 2011, Engility had sales of $2.18 billion with approximately 9,200 employees.

"We are very appreciative of Governor McDonnell, the Commonwealth and Fairfax County for this strong show of support. Our existing relationship with Virginia provides a solid foundation from which to launch our exciting future and enables us to fulfill our commitment to support our customers' missions," said Tony Smeraglinolo, Executive Vice President of L-3 Services, Inc. who will be appointed Engility's Chief Executive Officer upon completion of the spin-off.

The Virginia Economic Development Partnership worked with the Fairfax County Economic Development Authority to secure the project for Virginia. Governor McDonnell approved a $350,000 grant from the Governor's Opportunity Fund to assist Fairfax County with the project. Through its Virginia Jobs Investment Program, the Virginia Department of Business Assistance will provide funding and services to support the Company's recruitment and training activities.

"Engility is a great fit for Fairfax County," said Gerald L. Gordon, Ph.D., president and CEO of the Fairfax County Economic Development Authority. "The company will be able to take advantage of the highly skilled workforce and market opportunities that will help it grow and succeed here, and the county gains another high-quality employer that burnishes its reputation as a headquarters location."
